INTERVIEW WITH RAYMOND SHAW, EXECUTIVE CHAIRMAN OF ENTERPRISE ENERGY (EPE)

“Update on Acquisition of Bandana Coal and Future Prospects”

http://www.brr.com.au/event/50841

TUESDAY, SEPTEMBER 2, 2008, 1:30 PM.

BRR    Good morning and welcome to Boardroomradio. Today, we are talking to Raymond Shaw, Executive Chairman of Enterprise Energy. Good morning

10                    Ray, thanks for taking the time to talk with me.

EPE     Good morning Tom, thank you.

BRR    Ray, you are meeting of shareholders on the 15th of September to approve the acquisition of Bandanna Coal. Can you update us from this purchase?

15        EPE     Yes Tom. Look, we have sent out an explanatory statement and noticed a general meeting to all shareholders and they should have received that by now. As you mentioned, we are having a general meeting of shareholders at 11 a.m. on the 15th of September at a hotel in Adelaide to put the shareholders their resolutions for the approval of a proposed transaction,

20                    which will entail the acquisition of all the issued share capital of Bandanna Coal Proprietary Limited. As you may recall back in May, we issued an ASX release where we indicated that enterprise that ended into a heads of agreement to that stage for the purchase of the issued capital of Bandanna through the issue of shares and with that of course, the purpose being that

25                    Bandanna have a very extensive coal exploration permit interest in both the Bowen and Galilee basins in Queensland. The explanatory statement that we sent the shareholders included independent experts’ reports, which are being prepared by DMR Corporate and that reported on that transaction as being a fair and reasonable one to enterprise his non-associated shareholders. In

30                    turn, DMR Corporate had commissioned a group, Anderson & Schwab. They have prepared an evaluation report on the mineral assets to both the Enterprise and Bandanna and of course that has all been favourably accepted by our board and each of our independent directors would of course be recommending the acceptance of those resolutions.

35

BRR    Ray, we have heard some good news about the coal quality at Springsure. Can you give us some more details on this?

EPE     Yes, just to put it into context, Springsure Creek, which at EPC 891 is one of the several exploration permits, which are held by subsidiaries of Bandanna

40                    Coal and obviously, once we have shareholder approval and have acquired the interest in Bandanna Coal, we will acquire the interest of whole Springsure Creek. Previously, it had been announced to the market that there was some 171 million tons of bituminous coal has inferred resource in79.6 million tons of indicated resource and this permit had been the focus of recent

45                    drilling including a number of traverses and the results that were announced yesterday relate to the coal quality results from one of the boreholes located in the central traverse and it is provided if you like something of a missing link between the results to the northern to the south and what we are looking at is basically an exploration target of the order of some 400 to 513 million tons in this area and the results of that coal quality and I was showed yesterday have indicated that we got very, very good low ash content, low sulphur, and the quality will provide an excellent low thermal coal product, which will give us an obvious competitive advantage so the results today are looking very

5                      encouraging and of course that Springsure Creek will be one of the key areas that we are focusing on our future activity.

BRR    And finally Ray, is there anything else you would like to talk with shareholders about today?

10        EPE     Look, I guess Tom, the obvious thing is to say that with this proposed transaction coming up, we are extremely excited about the company’s future. Clearly, this would represent a major change in the fortunes of the company and if approved by shareholders, we will become a new mid-year coal company with midterm production capacities through the Dingo West farmin

15                    with Macarthur coal and it will provide us also with interest in a diversified energy sector with their existing oil and gas interest etc., and it will enable enterprise to take much greater advantage of new opportunities on market conditions as (inaudible) (0:03:57).

20        BRR    That was the Raymond Shaw, Executive Chairman at Enterprise Energy. Remember.  If you have any questions for Ray or you would like more information about this broadcast, please e-mail, and brr@brr.com.au. I am Tom McKay, thanks for listening to Boardroomradio.
