BRR Good morning and welcome to Boardroom Radio. Today, we’re joined by Mr. Mark Foley, Managing Director and Executive Director of BSA Limited.
10 Thanks for joining us today, Mark.
BSA Thank you, Eddie for the opportunity to have a chat.
BRR Mark, I just want to have a quick discussion today, just about your full year results that you’ve recently released, what were the highlights of this report?
15 BSA Thank you Eddie. I’d be delighted to. Look, BSA has a reasonably solid year. We had 53% of growth in our revenue line mainly due to the acquisition of the Triple M business. So Triple M takes us into a new area of business which is in the building services space specializing in mechanical services for our protection and prevention and designing construction in Green Star Rated
20 Mechanical Services for major buildings around Australia. This acquisition into the building services sector is the first of a number of our growth initiatives and moving forward, we will be looking at other acquisitions in this space and organic growth which will assist us in taking the volatility of our earnings.

The year, as a whole, was reasonably solid. We had a couple of disappointments as well. We were not able to secure our contract directly with Telstra but we did secure our ongoing Telstra (inaudible) (00:01:34) maintenance contract with Silcar. We did strengthen our relationship with
30 Foxtel and continue with a new 4-year contract looking after the Foxtel business in Australia. We also secured 50% of the Optus worth on the HFC network for the next two years.
So, overall, it was reasonably solid, we had, as a said, 53% growth, earnings
35 at the EBITDA lines were up by only 12% at $16.1 million, while Net Profit After Tax was down about 10% due to interest expense in some of the margin pressures that we experienced in that contracting solutions business.
We did pay very strong dividends this year on the back of already announcing
40 a 3.5 cent dividend of the interim dividend when the Hill’s merger was on the table. We stopped with that dividend although the merger with Hills Industries did not go ahead. So part of their strategic review looking ahead will be also to review our dividend policy as a whole. Now, final dividend was 3.75 of a cent. We had earlier flagged 1.5 cents. I thought it prudent to reduce in the
45 current environment.
BBR Mark, near the start of the year you were talking about the acquisition of Triple M and how it has improved your business, however, has this acquisition in any way, in the course that drag or of any means or affected your cash generation?
BSA Cash from operations for the period was fairly in $0.5 million. It’s excellent to be able to acquire business with good management that understands the
5 importance of collecting cash from the debtors and managing cash and putting together contracts in such a way that do not drag heavily on the overall company’s cash position. So we’re very pleased with the way that this year’s has grown as far as cash flow and working capitals are going.
10 BRR Mark, we also see this year, you’ve appointed a new Chairman, Ross Johnston, what does he bring to BSA and what were the reasons behind bringing Ross on board?
BSA The appointment of Ross Johnston as Chairman was not taken lightly by the Board of BSA. It was a very considered appointment after an extended
15 search. Our existing Chairman had flagged his intention to retire, he had done a great job for us, and we did an extended search for quite some time to find someone who has had the skill set that we required at BSA. So Ross has had an excellent executive career with Lend and Lease and then as CEO of Spotless Australia. Ross brings a wealth of knowledge in the services sector
20 which is the area of expertise of BSA. So we are excited to have Ross heading up the Board as Chairman and he’s leading our strategic review of operations and where we wish to place the BSA in the future. So our strategic plan will look ahead for the next 3 to 5 years of what’s basis we believe BSA should be involved in.

BRR And lastly, Mark, do you want to let us know what the plan is moving forward to BSA?
BSA The long-term business plan of BSA, as I say, is currently under review and we plan to update the market in early October when that review is complete.
30 That review will review all operations of the business and we will understand from that what is our core business strategy and moving forward, and we’ll also review our dividend policy, the cash required that will need to grow the business. The key for us is certainly not growth at any cost, we want to make sure that the businesses that we’re moving into and staying in are long-term
35 businesses with a good balanced annuity top income, which will enable us to take the volatility out of our earnings for the BSA shareholders.
